GHOST NODES –
SUBSCRIPTION AGREEMENT
1. Overview
This Subscription Agreement (“Agreement”) governs access to and use of the Ghost Nodes platform (“Service”) provided by Ghost Labs AB (“Ghost Labs”, “we”, “us”, or “our”).
Ghost Nodes is a distributed automation platform.
The Ghost Nodes control platform is operated by Ghost Labs, while gateway software, monitoring agents, and related components are deployed within infrastructure controlled by the Customer.
By subscribing to the Service, Customer agrees to this Agreement.
2. Definitions
For the purposes of this Agreement:
Service
means the Ghost Nodes platform operated by Ghost Labs.
Customer Infrastructure
means infrastructure, systems, and environments owned or controlled by the Customer where Ghost Nodes components are deployed.
Ghost Nodes Components
means gateway software, agents, monitoring services, and related software provided by Ghost Labs.
Customer Data
means data processed through the Service by the Customer.
3. Right to use the service
Ghost Labs grants Customer a non-exclusive, non-transferable right to access and use the Service during the Subscription Term.
Customer may deploy Ghost Nodes Components within Customer Infrastructure for the purpose of operating automation workflows, system integrations, and monitoring services.
Customer may not:
- resell or sublicense the Service
- reverse engineer the Service
- bypass service limits or billing controls
- operate the Service on behalf of unrelated third parties
Ghost Labs retains all intellectual property rights in the Service.
4. Customer infrastructure
Ghost Nodes Components operate within infrastructure provided and managed by the Customer.
Customer is responsible for:
- infrastructure availability
- system configuration
- operating systems and runtime environments
- network connectivity
- security and patch management
Ghost Labs is not responsible for outages, failures, or security incidents arising from Customer Infrastructure.
5. Customer data
Customer retains ownership of Customer Data.
Ghost Labs processes Customer Data solely to operate the Service.
Ghost Labs does not host or operate Customer workloads executed within Customer Infrastructure.
Customer acts as the data controller for personal data processed through workflows or integrations.
Ghost Labs acts as a data processor for such data.
6. Telemetry
Ghost Nodes Components may transmit operational telemetry to Ghost Labs to maintain service reliability, monitor platform health, and detect abuse.
Telemetry may include:
- node identifiers
- system health metrics
- version information
- service status data
Telemetry does not include workflow payload data or application data processed within Customer Infrastructure.
7. Acceptable use
Customer must use the Service in accordance with the Ghost Nodes Acceptable Use Policy.
Ghost Labs may suspend the Service if Customer violates the Acceptable Use Policy or threatens the security or stability of the Service.
Ghost Labs may investigate suspected violations of this Agreement or the Acceptable Use Policy.
8. Subscription and payment
Access to the Service is provided on a subscription basis.
Subscriptions may include:
- usage-based plans
- committed subscription plans
- trial subscriptions
Fees are payable according to the applicable pricing terms.
Ghost Labs may update pricing for future subscription periods.
9. Termination
Customer may terminate the subscription at any time.
Upon termination:
- access to the Service will be disabled
- Ghost Nodes Components will cease communication with the Service
Customer is responsible for removing Ghost Nodes Components from Customer Infrastructure.
Customer Data will remain available for export for 30 days following termination.
10. Service changes
Ghost Labs may modify or improve the Service from time to time.
Such changes will not materially reduce the core functionality of the Service.
11. Warranties
The Service will operate substantially as described in the documentation.
Except as expressly stated in this Agreement, the Service is provided “as is” and “as available.”
12. Limitation of liability
Ghost Labs’ total liability arising from this Agreement will not exceed the fees paid by Customer during the twelve months preceding the claim.
Ghost Labs is not liable for:
- indirect damages
- lost profits
- business interruption
- loss of data
13. High-risk use
The Service is not intended for use in safety-critical systems where failure could result in death, personal injury, or environmental damage.
Customer assumes all responsibility for any such use.
14. Governing law
This Agreement is governed by the laws of Sweden
